Terms of Service

These Terms govern your use of the website at helixmarketingsystem.com and any services purchased through it. The services are provided by Helix Marketing System LLC (“Helix Marketing System”, “we”, “us”). By using this site or purchasing from us, you agree to these Terms.

1. Services

We provide marketing and advertising services, including media buying, creative production, measurement, and related consulting. The specific scope, deliverables, fees, and duration of any engagement are set out in a separate written proposal, statement of work, or order confirmation, which together with these Terms forms the agreement between us.

3. Your responsibilities

You are responsible for the accuracy and legality of any materials, claims, product information, and access credentials you provide to us, and for ensuring that your products and marketing comply with all laws and with the policies of the advertising platforms on which they run. You retain ownership of your brand assets and grant us a limited licence to use them solely to deliver the services.

4. Our deliverables

On full payment for an engagement, you own the final creative deliverables produced specifically for you. We retain ownership of our pre-existing materials, tooling, templates, and methods, and may use general knowledge and experience gained in the course of the work.

5. No guarantee of results

Advertising performance depends on many factors outside our control, including platform algorithms, auction dynamics, competitor behaviour, seasonality, and your own pricing, product, and fulfilment. We do not guarantee any particular return on ad spend, ranking, conversion rate, or revenue outcome, and no statement on this site should be read as such a guarantee.

6. Third-party platforms and media spend

Where we manage advertising accounts on your behalf, media spend is paid by you directly to the relevant platform unless we have agreed otherwise in writing. Platform decisions, including account suspensions and ad disapprovals, rest with those platforms.

7. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform or receive the services, except where disclosure is required by law.

8. Cancellation

Cancellation and refund rights are set out in our Refund & Cancellation Policy, which forms part of these Terms.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data. Our total aggregate liability arising out of or relating to the services is limited to the fees you paid us for the services in the three months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud or for any other liability that cannot lawfully be limited.

10. Changes

We may update these Terms from time to time. Material changes take effect for existing engagements at the start of the next billing period, or thirty days after we post the change, whichever is later. The “last updated” date above reflects the current version.

11. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising under them.
